Does the earlier OS need to be installed or can I just slip it an earlier
version install disc?

From what I've read the downloaded version looks for a valid Windows
installation, the disk version may be different.

You will still need a valid activation code. Which as far as I can tell
comes from the attempt to get windows. Then again maybe it's on the disk as
usual.
One thing though, it is worth trying the online tester in case the PC is no
good. I updated 6 of mine but one of the others using win7 will not update
because the processor does not have the exclude bit (Pentium 4 3.0 sinlge
core). Win 8 uses that for virus control, and probably software control.

You can create a bootable disc from the download but I don't know what authentication is necessary past that as I did an in-place upgrade in my HP touchscreen multi-media system.
