That's what it was. I added SET EXCLUSIVE OFF just before the open command
and it worked, but I open the database as SHARED explicitly and it still
opened exclusively...
Some days just suck :)

Have you SET EXCLUSIVE OFF in both instances? It may be on by default
when you start up VFP (in this case your second instance)
